Introduction
Our mission at CauseCircle.org is to empower nonprofits by providing them with tools to effectively communicate their causes, engage with supporters, and increase their impact. CauseCircle Listings ("Listing Services") are designed to help nonprofits be found by donors, volunteers, supporters, corporations and partners. These organizations are given the opportunity to connect with a broader audience and share valuable information about their missions on CauseCircle.org.
1. Contract
By creating, claiming, or continuing as an Administrator (as defined below) of a nonprofit listing ("Listing") on our Listing Services, you agree to enter into a legally binding agreement between CauseCircle.org ("we", "us", or "our") and your nonprofit organization ("Organization") represented by the Listing. "Organization" refers to the nonprofit entity represented by your Listing, which must be a registered legal entity with the government of your nation. You represent and warrant that you are authorized to enter into these terms on behalf of the Organization. By doing so, you and any other Administrators (as defined below) become parties to this agreement ("You").
If You do not agree to these terms ("Contract" or "Service Terms"), do not register as an Administrator and do not access or otherwise use our Listing Services.
In addition to these Service Terms, our User Agreement, Privacy Policy, Community Guidelines and Cookie Policy apply to any use of our services. Additional terms may apply to specific features, such as premium services, which may include additional terms and payment obligations.
2. Obligations
You agree to use the Listing Services in compliance with these Service Terms.
2.1 Administrators: "Administrator(s)" refers to individuals who have signed up on CauseCircle.org as administrators of the Organization's Listing. Each Listing must have at least one designated Administrator who is a current member of CauseCircle.org with up-to-date contact information.
2.2 Organization Representation: You agree to accurately represent the identity of the Organization on the Listing. Any changes to the Organization’s name or structure, such as mergers or rebranding, must be updated promptly on CauseCircle.org.
2.3 Content and Conduct: You agree that:
You will only provide and approve accurate, professional, and respectful content that pertain to your organization's cause and mission.
All content approved and posted by an admin will be truthful and will not infringe on the rights of others.
You will only use the Listing Services to promote your own Organization's activities, events, and causes.
Your Organization is operated lawfully, adhering to all applicable laws.
All actions taken by the Organization (including content posted by Administrators) will comply with legal requirements.
2.4 Compliance with Data Policies: You agree to comply with our Privacy Policy when collecting and processing personal data related to individuals who interact with your Organization on CauseCircle.org. You are responsible for ensuring compliance with applicable laws when processing any such data, including obtaining necessary consent.
2.5 Listing Insights: Administrators may have access to analytics and insights ("Listing Insights") related to their Organization’s performance on CauseCircle.org. Use of these insights is subject to our Data Policy.
3. Intellectual Property
3.1 License: By providing content to CauseCircle.org, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, distribute, and publish any content submitted to CauseCircle.org. This license will continue even if your Listing is removed or the contract is terminated.
3.2 Feedback: If you provide feedback or suggestions to CauseCircle.org, we may use them without any obligation to compensate you.
4. Listing Service Limits
You acknowledge and agree that:
The identity of Administrators and their actions related to the Listing may be visible to others.
We may remove or modify any Listing or restrict an Administrator’s access to the Listing Services at our discretion.
CauseCircle.org reserves the right to change, suspend, or discontinue any of our services at any time. We may remove any Listing without notice and are under no obligation to maintain or provide copies of the content posted by the Organization.
5. Modification and Termination
5.1 Modification of Contract: CauseCircle.org reserves the right to modify these terms. If material changes are made, we will notify you through our services, and you will have the opportunity to review the changes before continuing to use the Listing Services. If you do not agree with the changes, you may terminate your contract in accordance with Section 5.2.
5.2 Termination of Contract: You may terminate this Contract at any time by removing all Administrators, deactivating your Listing, or notifying us at contact@causecircle.org. CauseCircle.org may also terminate this Contract by deactivating your Listing or providing notice to an Administrator.
6. Warranty Disclaimer
CauseCircle.org makes no representation or warranty that the Listing Services will be uninterrupted or error-free. To the fullest extent permitted by law, CauseCircle.org disclaims all implied warranties, including warranties of title, non-infringement, merchantability, and fitness for a particular purpose.
7. Limitation of Liability
7.1 Damages Waiver: To the fullest extent permitted by law, CauseCircle.org will not be liable to you for lost profits, lost opportunities, or any indirect, incidental, or consequential damages.
7.2 Liability Cap: CauseCircle.org’s liability to you in connection with the Listing Services will not exceed $2,000 USD.
8. Governing Law and Dispute Resolution
This Contract will be governed by the laws of the state of California, USA, and any disputes will be resolved in state or federal courts located in San Diego County, California. Each party agrees to the jurisdiction of these courts.
9. Miscellaneous
This Contract does not create a partnership, agency relationship, or joint venture between the parties. You may not assign this Contract without our prior written consent. If any provision of this Contract is unenforceable, the remaining provisions will remain in effect.
By using CauseCircle.org’s Listing Services, you agree to these Terms of Service.
